1. About Us
Zavia Prime System LLC is a web application development agency registered in Wyoming, United States, specializing in building Minimum Viable Products (MVPs) and full applications using Bubble (no-code platform) and related technologies.
2. Services
We provide the following services:
* Custom web application development using Bubble and other no-code/low-code platforms
* MVP development for startups and early-stage businesses
* Application consulting, scoping, and strategy
* Post-launch support and maintenance (as agreed in writing)
All services are described in a separate Statement of Work (SOW) or Project Agreement signed by both parties prior to commencement of work.
3. Project Agreements
All projects begin with a signed Project Agreement or Statement of Work outlining:
* Scope
* Timeline
* Deliverables
* Payment schedule
* Specific project terms
In the event of any conflict between these Terms of Service and a signed Project Agreement, the Project Agreement shall take precedence.
4. Payment Terms
* All prices are quoted in US Dollars (USD)
* A deposit (typically 50%) is required before any work commences
* Remaining balance is due upon project completion or as outlined in the Project Agreement
* Payments are processed securely via Stripe
* Invoices not paid within 7 days of the due date may incur a late fee of 1.5% per month
* We reserve the right to pause or terminate work on projects with outstanding unpaid invoices
5. Scope and Change Requests
The agreed project scope is defined in the Project Agreement.
Any changes, additions, or modifications to the original scope must be submitted in writing and will be subject to a separate Change Order with revised timeline and pricing.
We are not obligated to implement changes outside the original scope without a signed Change Order.
6. Client Responsibilities
To ensure successful project delivery, the client agrees to:
* Provide timely feedback within agreed review periods (typically 48–72 hours)
* Supply all required content, assets, and access credentials promptly
* Designate a single point of contact for project communication
* Attend scheduled project calls and milestone reviews
Delays caused by the client’s failure to meet these responsibilities may result in timeline extensions and/or additional fees.
7. Intellectual Property
Upon receipt of full payment, the client receives full ownership of the completed project deliverables, including:
* The Bubble application
* Custom workflows developed specifically for the client
Zavia Prime System LLC retains the right to:
* Use generic, reusable components and templates developed independently of the client’s project
* Display completed projects in our portfolio (unless otherwise agreed in writing)
* Retain pre-existing intellectual property, tools, and methodologies used during development
8. Confidentiality
We treat all client information as confidential.
We will not disclose your proprietary business information, trade secrets, or project details to third parties without your written consent, except as required by law.
Upon request, we are willing to sign a Non-Disclosure Agreement (NDA) prior to project commencement.
9. Warranties and Disclaimer
We warrant that all work will be performed in a professional manner consistent with industry standards.
We do not warrant that:
* The application will be error-free or uninterrupted at all times
* The application will meet performance benchmarks not outlined in the Project Agreement
* Third-party platforms (including Bubble) will remain available or unchanged
Disclaimer
All services are provided “AS IS” without warranties of any kind beyond those expressly stated herein.
10. Limitation of Liability
To the maximum extent permitted by law, Zavia Prime System LLC’s total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, consequential, or punitive damages.
11. Termination
Either party may terminate a project with 14 days written notice.
In the event of termination:
* The client shall pay for all work completed up to the termination date
* Any non-refundable deposits are forfeited as outlined in our Refund Policy
* We will deliver all completed work to the client upon receipt of final payment
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States.
Any disputes shall first be resolved through good-faith negotiation and, if unresolved, through binding arbitration in Wyoming.
13. Changes to These Terms
We reserve the right to update these Terms of Service at any time.
Continued use of our services after changes constitutes acceptance of the revised terms.
We will post the updated version on this page with a new effective date.
